Zalaris ASA acquires ba.se. GmbH

Zalaris ASA has agreed to acquire ba.se. service & consulting GmbH (“ba.se”), a leading provider of payroll and related HR services to the retail industry in Germany.  

“The combination of Zalaris and ba.se represents a good match as we both have built our delivery capability on SAPs leading payroll and HR solutions.  The addition of the ba.se team with their long experience in the demanding retail sector will increase our ability to serve this interesting customer segment and with immediate effect – increase our critical mass within payroll and HR BPO in Germany”, says CEO and founder Hans-Petter Mellerud of Zalaris.

ba.se had revenue of EUR 6.1 million for the year ended 30 September 2020. The transaction will be financed from available cash, and is expected to be accreditive already in 2021. The purchase price consists of an up-front payment and a performance-based element. The transaction will close in Q2 2021, but will have key milestones for performance during the period 2021 to 2023.
